Advised Bloomage, (see description below) in their acquisition of 100% of French Mesotherapy, Haircare and Body Contouring treatment for cellulitis REVITACARE SA, Saint Ouen L’Aumône (93). Prior to the transaction, CEO and Founder Ms. Martine Buzon held 49.9% stake in REVITACARE, while Rosen SARL held 50.1% stake. Ms. Martine Buzon is a private individual having interest in companies engaged in medical aesthetic products used in prevention and correction of skin aging effects, cellulite and hair treatment. Rosen SARL is a Luxembourg-based investment holding having interest in companies engaged in medical aesthetic products used in prevention and correction of skin aging effects. The consideration included an upfront payment of € 13.65m, a basic earn-out of up to € 7.875m based on the audited EBITDA as of December 31st, 2017 and 2018 and an additional earn-out of up to € 5m based on the cumulative sales and NOPAT for the audited Income Statements from 31 December 2017 to 31 December 2019.
