Exclusive Financial Advisor to NicOx SA on the acquisition of Eupharmed S.r.l for an upfront consideration combined with a performance earn-out.
Exclusively advised in the acquisition of the Italian ophthalmics company Eupharmed Srl by Paris- Euronext-listed Nicox SA, in an all-share deal paid via an ad-hoc share capital increase of Nicox . The consideration consists of an upfront based upon Nicox shares as of closing, and an earn-out contingent upon continuation of certain third-party agreements. Such earn-out will be paid with Nicox’ warrants, using the same price formula as for the primary transaction but applying a cap to the number of shares to be issued to limit dilution.
