Exclusively advised the Shareholders and Management of Vemedia Pharma, a listed Belgian Over The Counter (OTC) Medicine specialist, with a strong presence in the Netherlands, Belgium, Spain, Portugal and Italy and one of Europe’s leading suppliers and distributors of OTC medicines in the areas of sleeping & calming products, medicated footcare and specialty food supplements in the divestiture to INDUSTRI KAPITAL. We negotiated a share purchase agreement between the three largest shareholders of Vemedia following a competitive auction process. These selling shareholders represent 78% of Vemedia’s economic interest (€ 145m Enterprise Value).
